Terms of Service
Last updated 24 August 2026
These terms govern your use of Nudgley. By creating an account you agree to them. If you do not agree, please do not use the service.
1. Who you are contracting with
Nudgley is operated by an individual based in Abu Dhabi, United Arab Emirates ("Nudgley", "we", "us"). You can reach us at support@nudgley.io, and we answer every message ourselves.
We do not publish the operator's name on this page, but we are not anonymous: our full legal and contact details are available on request. Email support@nudgley.io and we will provide them — you do not need to give a reason.
Payments are not handled by us. Subscriptions are sold and processed by Creem acting as merchant of record. Creem is the seller for the transaction, handles billing and applicable sales tax or VAT, and will appear on your card statement rather than Nudgley. Creem's own terms apply to the payment itself.
2. What Nudgley does
You record unpaid invoices — your client's name and email address, the invoice number, the amount and the due date. When an invoice passes its due date, Nudgley sends your client a sequence of reminder emails on your behalf, escalating in tone over time, until you mark the invoice paid.
Reminders are sent from our sending domain with your name as the sender and your own email address as the reply-to, so replies reach you directly. We do not collect, hold, process or transmit any payment your client makes. If you supply a payment link, we include it in the reminder; otherwise the reminder asks your client to reply to you.
3. Your account
You are responsible for what happens under your account, including keeping your login secure and making sure the invoice details you enter are accurate. Reminders are sent automatically based on what you record, so an incorrect email address or due date results in an incorrect reminder going to a real person.
You must be at least 18 and capable of entering a binding contract.
4. Your clients' data, and your responsibility for it
This is the most important obligation in these terms. When you add an invoice, you are giving us personal data about someone else — your client. You confirm that:
- you have a genuine business relationship with that person or organisation, and a real unpaid invoice;
- you are permitted to contact them at the address you supplied about that invoice;
- you will keep their details accurate and remove them when the matter is resolved.
You are the controller of that data and we act as your processor. Our handling of it is described in the Privacy Policy.
5. Acceptable use
Nudgley is for chasing genuine unpaid invoices in a professional way. You must not use it to:
- contact anyone who does not owe you money, or send messages unrelated to an invoice;
- harass, threaten or intimidate anyone, or imply legal or collection action you are not entitled to take;
- send bulk, marketing or unsolicited email of any kind;
- upload contact lists you obtained from anywhere other than your own client relationships;
- pursue consumer debts in a manner that breaches applicable debt-collection or consumer-protection law.
We may suspend or close an account that breaches this section, and we may do so immediately where a real person is being harmed. Repeated bounces or spam complaints from your recipients will cause sending to that address to stop automatically.
5.1 Fraud, phishing and deception
If we suspect on reasonable grounds that an account is being used to defraud, phish or mislead the people it emails, we may suspend or permanently close it immediately, without notice and without refund, and we may report it to our service providers, to the payment provider and to the relevant authorities.
We do not have to prove fraud before acting, and we will not always explain what prompted us. This is deliberate: reminders go to real people who did not choose to receive them, and we would rather wrongly suspend an account and sort it out afterwards than let a scam continue. If we get it wrong, tell us and we will look again.
6. Payment links are yours, not ours
Nudgley never takes payment from your clients. We do not process, hold, route or refund any money owed to you. We are a reminder service and nothing more.
If you enter a payment link, we reproduce it in your reminders exactly as you gave it to us. That link points at a page we do not operate, do not own, do not monitor and have not checked. It is entirely your responsibility that the link is genuinely yours, that it goes where it says it goes, and that it is safe for your client to use.
You are solely responsible for any loss, of any kind, suffered by anyone who follows a payment link you supplied — and you agree to cover us for any claim brought against us because of one. We may remove a payment link from your account, or suspend the account entirely, where we have any concern about where a link leads. We are not obliged to check links and the fact that we have not removed one does not mean we have approved it.
During the free trial, payment links are not sent at all. Trial reminders ask your client to reply to you for payment details instead.
7. Reporting a reminder
Every reminder we send carries a link that lets the person receiving it report it to us. We take those reports seriously and act on them:
- a single report immediately and permanently stops us emailing that person from your account, whatever the invoice says;
- reports from several different people about the same account will cause it to be suspended while we look into it, which stops all of your reminders going out;
- an account found to be emailing people who do not owe it money will be closed permanently, without refund.
If your account is suspended we will email you, and you can reply to explain. We would rather reinstate a genuine business quickly than leave a good customer stuck — but the emailing stops first and the conversation happens second.
If you have received a reminder from Nudgley that you believe is not legitimate, please report it using the link in that email, or write to support@nudgley.io.
8. Trial, plans and billing
New accounts get a three-day free trial, limited to five active invoices at a time. No card is required to start it. When the trial ends, reminders stop being sent until you choose a paid plan.
| Plan | Price | Includes |
|---|---|---|
| Starter | $15 per month | Up to 10 active invoices |
| Unlimited | $29 per month | Unlimited invoices, overdue dashboard |
Plans are billed monthly in advance and renew automatically until cancelled. Prices are in US dollars and exclude any sales tax or VAT, which Creem adds where it applies in your country.
Features marked "coming soon" on our pricing page are not part of what you are buying today, and we do not promise a date for them.
9. Cancelling and refunds
You can cancel at any time through the customer portal Creem provides, or by emailing support@nudgley.io. Cancellation stops future renewals. Your access continues to the end of the period you have already paid for.
We do not give partial refunds for unused time in a month that has already started — the free trial exists so you can decide before paying anything. We will refund a charge that resulted from a billing error, a duplicate payment, or a failure on our side that stopped the service working, and we will consider other requests in good faith. Refunds are issued through Creem.
10. Availability
We work to keep Nudgley running, but we do not promise uninterrupted service. Nudgley is built on third-party platforms and an interruption at any of them can delay or prevent reminders being sent. We do not guarantee that a reminder will be delivered, or that it will not be filtered by your client's mail provider, and we are not responsible for an invoice going unpaid.
11. Our liability
Nudgley is provided as-is. To the fullest extent the law allows, we are not liable for indirect or consequential loss, lost revenue, lost profit, or loss of business or reputation arising from your use of the service — including from a reminder that was sent, was not sent, or was sent with details you entered incorrectly.
Where liability cannot be excluded, our total liability to you for any claim is limited to the amount you paid us in the three months before the claim arose.
Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.
12. Ending the agreement
You may stop using Nudgley and close your account at any time. We may end your access with reasonable notice, or immediately if you breach section 5 or section 6. If we end your access without cause, we will refund the unused portion of your current period.
After an account closes we keep your data for a short period in case you return, then delete it. See the Privacy Policy for the detail.
13. Changes to these terms
We may update these terms as the service changes. If a change materially affects your rights we will email you before it takes effect. Continuing to use Nudgley after that means you accept the new terms.
14. Governing law
These terms are governed by the laws of the United Arab Emirates, and the courts of Abu Dhabi have exclusive jurisdiction, except where consumer-protection law in your own country gives you the right to bring a claim locally.
